Foresight backs Distology as NorthEdge logs 4.3x SME Fund exit

NorthEdge's ninth tech exit hands Stockport-based cybersecurity distributor to Foresight, underlining regional PE appetite for security-channel plays.

Foresight Group has acquired Distology, a specialist cybersecurity value-added distributor headquartered in Stockport, from Northern-focused private equity firm NorthEdge. The deal marks NorthEdge's ninth technology exit and the third realisation from its SME Fund, with that fund's three exits delivering a blended 4.3x gross multiple on invested capital (MOIC) to date. For Foresight, a FTSE 250-listed investment manager with thirteen offices across the UK and Ireland, the transaction extends a portfolio that spans energy transition assets and growth capital into the cyber-distribution channel.

Distology operates as an intermediary between emerging cybersecurity vendors and the IT reseller channel, giving disruptive security software makers access to markets across the UK and Northern Europe, including operations in the Netherlands and Germany. The model sits at a structural chokepoint: as enterprises accelerate security spending, the vendors most likely to win enterprise budgets are often those with the fastest distribution routes, and specialist distributors such as Distology own those relationships.

A five-year growth story built on talent and vendor breadth

NorthEdge invested in Distology in February 2021, backing founder and chief executive Hayley Roberts in her company's first institutional funding round. Over the two years to the 2026 financial year, the business delivered a 48% compound annual growth rate in EBITDA, expanded its vendor portfolio, added services capability through the 2022 acquisition of Squareball, and appointed a Chief Technical Officer and a Chief Commercial Officer. Roberts has been named among the top twenty EMEA channel leaders, and the business has accumulated multiple channel and partner awards during the investment period.

Foresight's backing will fund continued investment in headcount, technology, and European market expansion.

The convergence angle: regional PE, cyber spend, and the distribution layer

The transaction is instructive for cross-sector capital allocators for two reasons. First, it confirms that the cybersecurity distribution layer is attracting growth-equity interest well beyond the headline venture rounds that dominate security sector coverage. As enterprise security budgets scale in response to AI-augmented threat actors, the logistics of getting next-generation tooling in front of end buyers becomes its own investable category. Distributors with deep channel relationships and technical pre-sales capability command pricing power that pure software vendors often cannot replicate.

Second, the deal illustrates a durable thesis in UK regional private equity: lower mid-market firms with sector focus and a hands-on operational model continue to generate strong exit multiples even in a compressed deal environment. NorthEdge's SME Fund blended return sits well above the benchmark for comparable UK lower mid-market vehicles, and the Foresight entry signals that institutional capital with a mandate spanning infrastructure and growth equity sees the cyber-channel as a differentiated, defensible niche rather than a commodity play.

For macro investors watching how cybersecurity spending filters through the capital stack, the Distology transaction is a useful datapoint. Headline venture rounds in AI-native security platforms attract most of the coverage, but the distribution and integration layer, less glamorous and harder to replicate, is where margin and stickiness tend to concentrate. Foresight's entry into this segment, alongside its existing energy-transition and nature-recovery portfolios, also hints at a broader convergence between operational infrastructure investing and technology channel assets, as the boundaries between physical and digital infrastructure continue to blur.
