Stardust Power secures lithium offtake deal to back US battery push
Stardust Power (NASDAQ: SDST), the Oklahoma-based lithium refinery developer, has signed a Letter of Intent with battery technology firm Charge CCCV (C4V) to supply battery-grade lithium carbonate from its Muskogee facility. The deal outlines a phased demand forecast: 3,000 metric tonnes (MT) in 2028, rising to 10,000 MT in 2029 and 20,000 MT by 2030, tracking C4V's planned expansion of gigafactory capacity across the United States.
Both parties remain in commercial negotiation, the agreement is non-binding, with final volumes, pricing and delivery schedules still to be confirmed. That caveat is material: Stardust Power has separately disclosed a non-binding letter of agreement with an unnamed global trading house for up to 25,000 MT per year over ten years, with a five-year extension option. Together, the company says, these two frameworks represent a substantial proportion of its planned 50,000 MT per annum refinery output, with a combined pipeline it describes as potentially worth billions of dollars in future sales, a projection that depends entirely on final agreements being signed and prevailing spot prices holding.
Inside the FEOC compliance angle
The explicit emphasis on FEOC compliance, shorthand for Foreign Entity of Concern, the designation used in US clean-energy legislation to restrict battery supply chains with ties to China, Russia, Iran and North Korea, is the strategic thread running through both companies' commentary. C4V's VP of Supply Chain, Baasit Ali, framed the engagement directly: "Developing a resilient domestic battery supply chain requires alignment between material producers and battery manufacturers with non-FEOC compliance." The US Inflation Reduction Act and its successor provisions have made FEOC-free sourcing a commercial prerequisite for any battery maker seeking federal tax credits, rather than merely a geopolitical preference.
That regulatory architecture is reshaping where capital flows in the critical-minerals and battery-materials space. Companies able to certify a fully domestic lithium carbonate pathway, from brine or hard-rock feedstock through to refined battery-grade product, are now courted by manufacturers whose EV and grid-storage customers need clean-credit eligibility. Stardust Power's Muskogee location, positioned in what the company calls the US energy and manufacturing corridor, is a deliberate supply-chain geography play.
Convergence read-across: energy storage meets industrial policy
The broader significance of deals like this sits at the intersection of three converging pressures: the accelerating build-out of US domestic battery manufacturing capacity, the federal industrial-policy push to decouple critical mineral supply chains from Chinese refining dominance, and the capital markets' search for investable exposure to that transition.
C4V's forecasted ramp to 20,000 MT of annual lithium carbonate demand by 2030 reflects the scale of gigafactory ambition now being planned on American soil. If that capacity materialises, it creates structural upstream demand for refiners, but also exposes the entire chain to execution risk at multiple points simultaneously: permitting, feedstock sourcing, process qualification, and offtake-to-definitive-agreement conversion.
For cross-sector investors, the story illustrates a recurring pattern in deep-tech and critical-materials build-outs: headline commercial agreements can move share prices before the hard operational milestones, refinery commissioning, product qualification, regulatory sign-off, are anywhere close to de-risked. Stardust Power's own SEC filings flag going-concern uncertainty and the need for substantial additional financing, context that any capital allocator assessing the SDST equity story must weigh against the commercial pipeline the company is assembling.
