AIBotics acquires Empulser to build wireless-power defence platform
AIBotics, Inc. (OTCID: AIBT), a Miami-headquartered robotics and automation company, has signed a definitive stock-exchange agreement to acquire Empulser Enterprises LLC, a development-stage defence and dual-use technology firm founded by international investor Patrick Tsang. The deal, struck on 2 October 2026, values Empulser at up to $22 million in newly designated Series C Preferred Stock and, if it closes, will install Tsang as chief executive of the enlarged group.
The transaction is notable less for its scale than for its thesis: Empulser is being built around wireless power transfer as the enabling infrastructure for autonomous unmanned systems. The core argument is that range and endurance, not processing power or sensor resolution, are the binding constraint on persistent autonomous operations in defence and critical-infrastructure environments. Wireless charging infrastructure, the company contends, is what converts drone swarms and autonomous ground platforms from intermittent assets into continuously deployed capabilities.
A Convergence Bet on Endurance
The deal structures a milestone-heavy earn-out over 36 months, with 90% of the consideration tied to specified patent filings, product demonstrations, flight-testing events, entry into a formal evaluation programme, and the achievement of $500,000 in cumulative recognised revenue. The earn-out design reflects the reality that Empulser is explicitly pre-revenue and pre-product: the release states plainly that "products and technologies are in development." Investors and editors should read all capability claims accordingly.
Tsang brings a family-office capital network spanning Asia, Europe, the Middle East and North America through Tsang Group, a fourth-generation single family office. His advisory track record includes an early position in Pulse Evolution, which eventually became part of fuboTV and listed on the New York Stock Exchange. SEC filings cited an approximately 300-times return on that position based on fuboTV's late-2020 share price, though that figure relates to a specific market moment and should not be extrapolated.
Cross-Sector Read-Across: Defence Meets Energy Infrastructure
The strategic frame Empulser is staking out sits at a genuine convergence point. Unmanned aerial and ground systems have accelerated in capability, but their operational utility in contested or remote environments is still choked by battery capacity and the logistics tail of manual recharging. Wireless power transfer, already a subject of serious US defence research, addresses that logistics constraint directly. If credible wireless charging infrastructure for drones scales, the implications run well beyond defence procurement: critical-infrastructure monitoring, disaster-response deployments, and commercial logistics networks all share the same endurance problem.
From a capital-landscape perspective, the defence-autonomy space is attracting a widening range of investor types. Sovereign wealth funds in the Gulf have been moving into dual-use technology platforms, and family offices with cross-border networks, such as Tsang Group, are increasingly intermediaries between Asian and Middle Eastern capital and US-listed defence-tech vehicles. AIBotics' OTC listing provides a low-friction public-market platform for this kind of capital formation, even at pre-revenue stage, though OTC liquidity and regulatory scrutiny differ materially from a Nasdaq or NYSE environment.
The transaction still faces meaningful closing conditions: Empulser must deliver audited financials compliant with Regulation S-X, and AIBotics must remain current on its SEC and OTC Markets filing obligations. The agreement lapses if conditions are not satisfied by 2 January 2027. As Tsang himself put it: "The real challenge is enabling intelligent machines to operate for longer, with greater resilience and less human intervention." Whether Empulser's wireless-power platform can meet that challenge at defence-grade reliability remains the open question this deal does not yet answer.
